The following table sets forth information with respect to the Selling Stockholders and the shares of Common Stock beneficially owned by the Selling Stockholders as of September 30, 2021 and the percentage of beneficial ownership is calculated based on 22,295,893 shares of Class B common stock and no shares of Class A common stock as of such date, after giving effect to the conversion of all outstanding shares of preferred stock as of that date into an aggregate of 3,359,195 shares of our Class B common stock, the reclassification of all outstanding shares of our common stock into an equivalent number of our Class B common stock and the filing and effectiveness of our Amended and Restated Certificate of Incorporation in Delaware, which will occur prior to the closing of our initial public offering.
